1. Definitions

  • “We,” “Us,” “Our”: EGEXO, the operator of WholesaleLoofah.com
  • “You,” “Customer,” “Buyer”: The business entity or individual accessing our services
  • “Products”: Natural loofah sponges and related items offered for wholesale purchase
  • “Services”: Wholesale supply, custom manufacturing, private labeling, and shipping services

2. Business-to-Business (B2B) Terms

Our services are exclusively for:

  • Registered businesses, wholesalers, and distributors
  • Retailers and e-commerce stores
  • Private label brands and manufacturers
  • Commercial buyers purchasing for resale or business use

We do not sell directly to individual consumers. Minimum order quantities (MOQ) apply to all orders.

3. Account Registration

To place orders, you must:

  • Provide accurate business registration information
  • Maintain current contact and billing details
  • Keep your account credentials secure
  • Be authorized to represent and bind your business entity

You are responsible for all activities under your account.

4. Orders & Quotations

4.1 Quotations:

  • All price quotes are valid for 30 days unless otherwise stated
  • Quotes are subject to product availability and market conditions
  • Custom product quotes may require sample development fees

4.2 Order Confirmation:

  • Orders are confirmed upon receipt of signed purchase order or written acceptance
  • We reserve the right to accept or decline any order
  • Order modifications must be requested in writing before production begins

4.3 Minimum Order Quantities (MOQ):

  • Standard products: MOQ varies by product type (typically 500-5,000 units)
  • Custom/Private label: Higher MOQ requirements apply
  • Sample orders: Available for quality evaluation (fees apply)

5. Pricing & Payment Terms

5.1 Pricing:

  • All prices are quoted in USD unless otherwise specified
  • Prices are FOB Egypt unless alternative terms are agreed
  • Pricing subject to change based on currency fluctuations and raw material costs
  • Bulk discounts available for large volume orders

5.2 Payment Methods:

  • Bank wire transfer (T/T)
  • Letter of Credit (L/C) for qualified buyers
  • Alibaba Trade Assurance (where applicable)
  • PayPal for sample orders

5.3 Payment Terms:

  • New customers: 30-50% deposit, balance before shipment
  • Established customers: Net 30 terms available upon credit approval
  • Sample orders: 100% payment in advance
  • Custom/Private label: 50% deposit, 50% before shipment

5.4 Late Payments:

Overdue invoices may incur interest charges of 1.5% per month (18% annually) or the maximum permitted by law.

6. Production & Lead Times

  • Standard products: 15-30 days after order confirmation
  • Custom products: 30-60 days depending on specifications
  • Private label: 45-90 days including design and production
  • Sample orders: 5-10 business days

Lead times are estimates and may vary due to:

  • Seasonal harvest variations (natural product)
  • Order volume and complexity
  • Custom specifications and packaging requirements
  • Force majeure events

7. Product Quality & Specifications

7.1 Quality Standards:

  • All products meet international quality standards
  • Natural product variations are normal and expected
  • Pre-shipment inspection reports available upon request
  • Quality certifications provided as applicable

7.2 Natural Product Disclaimer:

Loofah sponges are natural agricultural products. Minor variations in size, color, texture, and density are inherent characteristics and not considered defects.

7.3 Claims & Defects:

  • Inspect products upon delivery
  • Report defects within 7 days of receipt with photographic evidence
  • Claims must be submitted in writing to Info@EGEXO.com
  • We reserve the right to inspect claimed defects

8. Shipping & Delivery

8.1 Shipping Terms:

  • FOB Egypt: Customer arranges and pays for international shipping
  • CIF/CFR: We arrange shipping (freight costs included in quote)
  • DDP: Delivered duty paid (available for select markets)

8.2 Shipping Carriers:

  • Sea freight: For bulk orders (most cost-effective)
  • Air freight: For urgent orders (higher cost)
  • Express courier: DHL, FedEx for samples and small orders

8.3 Delivery Timeframes:

  • Sea freight: 20-45 days depending on destination
  • Air freight: 5-10 days
  • Express courier: 3-7 days

8.4 Risk & Title Transfer:

  • Risk of loss transfers per agreed Incoterms (typically FOB Egypt)
  • Title transfers upon full payment receipt
  • Customer responsible for customs clearance and import duties unless otherwise agreed

9. Returns, Refunds & Cancellations

9.1 Cancellations:

  • Orders may be cancelled before production begins
  • Cancellation fees may apply (design fees, setup costs, deposit forfeiture)
  • Orders in production or shipped cannot be cancelled

9.2 Returns:

  • Returns accepted only for manufacturing defects
  • Must be pre-approved in writing
  • Customer pays return shipping unless defect is confirmed
  • Returned products must be unused and in original packaging

9.3 Refunds:

  • Issued only for confirmed manufacturing defects
  • Processed within 30 days of approved return
  • Refunded via original payment method
  • Shipping costs non-refundable unless error was ours

9.4 Replacements:

We prefer to replace defective products rather than refund. Replacement products shipped at no charge for confirmed defects.

10. Intellectual Property

10.1 EGEXO Property:

  • All website content, logos, designs, and trademarks are owned by EGEXO
  • You may not use our intellectual property without written permission
  • Product images and descriptions are for wholesale buyer reference only

10.2 Customer Designs (Private Label):

  • You retain ownership of your brand, logos, and custom designs
  • You grant us license to use designs solely for manufacturing your products
  • You warrant that your designs don’t infringe third-party rights
  • We maintain confidentiality of your proprietary designs

11. Confidentiality

Both parties agree to:

  • Maintain confidentiality of pricing, specifications, and business terms
  • Not disclose confidential information to third parties
  • Use confidential information only for business purposes
  • Return or destroy confidential materials upon request

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the purchase price of the products in question
  • We are not liable for indirect, consequential, or punitive damages
  • We are not liable for business losses, lost profits, or revenue
  • We are not liable for delays caused by circumstances beyond our control

13. Warranties & Disclaimers

13.1 Limited Warranty:

We warrant that products will:

  • Conform to agreed specifications
  • Be free from manufacturing defects
  • Be fit for their general commercial purpose

13.2 Disclaimer:

EXCEPT AS STATED ABOVE, PRODUCTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

14. Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control including:

  • Natural disasters, weather events, crop failures
  • War, terrorism, civil unrest
  • Government actions, trade restrictions, embargoes
  • Pandemics, epidemics, health emergencies
  • Strikes, labor disputes
  • Supply chain disruptions, shipping delays

15. Compliance & Export Controls

15.1 Your Responsibilities:

  • Comply with all import regulations in your country
  • Obtain necessary licenses and permits
  • Pay all customs duties, taxes, and fees
  • Ensure product compliance with local safety standards

15.2 Export Compliance:

You agree not to:

  • Export products to prohibited countries or entities
  • Violate international trade sanctions
  • Use products for prohibited purposes

16. Dispute Resolution

16.1 Negotiation:

Disputes should first be resolved through good-faith negotiation between parties.

16.2 Arbitration:

If negotiation fails, disputes will be resolved through binding arbitration under:

  • International Chamber of Commerce (ICC) Rules
  • Location: Cairo, Egypt or mutually agreed neutral location
  • Language: English
  • Governing Law: Egyptian Commercial Law (or as mutually agreed)

16.3 Legal Fees:

Prevailing party in disputes may recover reasonable legal fees and costs.

17. General Provisions

17.1 Entire Agreement:

These Terms constitute the entire agreement between parties unless superseded by signed written contract.

17.2 Amendments:

We may update these Terms periodically. Continued use after changes constitutes acceptance.

17.3 Severability:

If any provision is unenforceable, remaining provisions remain in full effect.

17.4 No Waiver:

Failure to enforce any right doesn’t constitute waiver of that right.

17.5 Assignment:

You may not assign your rights without our written consent. We may assign our rights to affiliates or successors.

17.6 Language:

English version prevails in case of translation discrepancies.
